YORBA LINDA WATER DISTRICT
BOARD OF DIRECTORS SPECIAL MEETING
Tuesday, June 23, 2020, 6:15 p.m.

TELECONFERENCE INFORMATION
As noted on the agenda, this meeting was facilitated via teleconference pursuant
to Paragraph 3 of Executive Order N-29-20 issued by the Governor of California
on March 17, 2020.
CALL TO ORDER
The meeting was called to order at 6:19 p.m.

STAFF PRESENT
Brett R. Barbre, General Manager
John DeCriscio, Operations Manager
Annie Alexander, Exec Asst/Board Secretary
ALSO PRESENT
Andrew Gagers, General Counsel, Kidman Gagen Law LLP
Mike Payne, Consultant, Michael Payne Consulting
General Counsel Gagen requested to add a Closed Session to the agenda to
discuss anticipated litigation as there was an immediate need and the need came
to his and staff's attention subsequent to the agenda being posted.
Director Nederhood made a motion, seconded by Director Hall, to add a Closed
Session to discuss anticipated litigation to the agenda. Motion carried 5-0-0-0 on
a roll call vote.
PUBLIC COMMENTS
Board Secretary Alexander confirmed that no written public comments had been
received for this meeting and that there were no members of the public on the
call desiring to comment.

5. CLOSED SESSION
The Board entered Closed Session at 6:22 p.m.
5.1. Conference with Legal Counsel — Anticipated Litigation
Significant Exposure to Litigation Pursuant to Paragraph (2) of Subdivision
(d) of Section 54956.9 of the California Government Code
Number of Potential Cases: One
Mr. Payne disconnected from the call prior to discussion of the following matter.
The following item was added to the agenda.
5.2. Conference with Legal Counsel — Anticipated Litigation
Initiation of Litigation Pursuant to Paragraph (4) of Subdivision (d) of
Section 54956.9 of the California Government Code
Number of Potential Cases: One
The Board returned from Closed Session at 7:17 p.m.
General Counsel Gagen announced that the Board took no reportable action
during Closed Session.
6. ADJOURNMENT
6.1. The meeting ended at 7:18 p.m.
