HomeMy WebLinkAbout1979-03-19 - Board of Directors Meeting Minutes1490 March 19, 1979 The special meeting of the Board of Directors of the Yorba Linda County Water District was called to order by President Knauft at 3:30 p.m. March 19, 1979 in the offices of the District on Plumosa Drive. Directors present and answering the roll call: Roy Knauft Howard Lindow, Fred Clodt, Art Korn and Whit Cromwell. Also pre- sent general manager Ralph Shook secretary Jean Mathews and attorney Art Kidman. The purpose of this special meeting,called by President Knauft, to discuss proposed amendment to Diemer Intertie Agreement. Mr. Shook explained the reason for the meeting and the material on the Second Amendment that had been given to the Directors for their information. Art Kidman spoke at some length on the second amendment to the Diemer Intertie. The Irvine Company has decided to become a full active project participant, no agency's costs will increase as a result of the Irvine Company's participation, and the Irvine Company's investment will be approximately 3.5 million dollars. Discussion at great length on the District's position if the amend- ment is accepted. Dennis MacLain came into the meeting at 3:55 p.m. Discussion continued with the observation that District should hold Contract I to the early completion date and ask to have a bulk head constructedd at the end of the first reach so that the District can have delivery of water by June 1980 or earlier. Ted Finster of Boyle Engineering came into the meeting at 4:00 p.m. Mr. Finster said that the bulk head had been in the original plans as an option at an estimated cost of $5000.00. Mr. MacLain explained that the 3 2 million dollars from the Irvine Company purchased 22 cfs with a 2 year option to buy the rest of the 80 cfs or if they do not purchase the rest it will be available to the original participants on percentage basis based on the part- icipants cost of participation. Moved by Director Korn seconded by Director Lindow to approve in principal the second amendment to the Diemer Intertie Agreement subject to an acceptable draft being approved by legal counsel, authorizing proper officers to sign for the District, all subject to this amendment to modifications provisions that progress will not be delayed and further provided that in order to provide sec- urity to Yorba Linda County Water District delivery of water on a timely basis, a bulk head will be constructed at the end of the lst contract and that 1st contract will be completed at the earl- iest feasible date,, that all cost associated with reach # 1 and because of the modification, will be borne by The Irvine Company.
