Sadly, Director Paul R. Armstrong, who served as a dedicated board member and community leader for nearly 28 years, passed away in early January. On January 14, 2010, the Board of Directors voted to take immediate action to fill the vacant board position. General Manager Ken Vecchiarelli reported that "the Board has chosen to appoint this position in an open and transparent public process, rather than incur the delay and cost of participating in the June 2010 Consolidated Election, an option that would cost our rate payers an estimated $86,000 to $106,000 for five months of service." The successful candidate will fill the vacancy for the remainder of Director Armstrong's term, which expires in early December 2010. The next four-year term for this board position will ultimately be determined by the voting public in the November 2010 General Election. On a monthly basis, directors are expected to attend a minimum of six to eight meetings including two regular board meetings, two standing committee meetings and various interagency meetings. The District will provide director orientation and make an effort to provide additional board management training as it becomes available. In order to be considered for appointment, an applicant must be a registered voter, reside within the District's boundaries and be willing and dedicated to serve the public's interests. Individuals who wish to be considered for appointment must submit a letter of interest, including their name, residential address, a statement of qualifications and their reason(s) for wanting to serve on the YLWD Board of Directors. Candidates shall hand deliver or mail their letter of interest and supporting information, which must be received no later than 5:00 PM on Friday, February 5, 2010 at the address below. Armstrong passed away January 8, 2010 leaving a vacancy on the Board of Directors. According to Section 1780 of the California Government Code, the Board has two options to fill this vacancy. STAFF RECOMMENDATION: That the Board of Directors consider the options available for filling the vacancy on the Board and provide further direction to staff. DISCUSSION: On January 8, 2010, Director Paul R. Armstrong passed away with nearly 28 years of continuous, dedicated service on the Board of Directors. The Board has two options to fill the existing vacancy which are summarized below: Appointment The Board can fill the vacancy by making an appointment within 60 days of this meeting, or by March 14, 2010. This would require that a notice of vacancy be posted in three or more conspicuous places in the District at least 15 days before the appointment is made. The Board may choose to solicit interested persons to apply for the appointment as well as form an ad hoc committee to review the applications and provide recommendations to the Board for interviews and possible appointment. Election In lieu of making an appointment, the Board may choose to call an election. The next available and qualifying election date would be June 8, 2010. To participate in this election, the District wold need to provide notice to the Orange County Registrar of Voters Office before January 29, 2010. The Registrar's Office has advised staff that participating in this election would cost between $86,000 and $106,000. In the event that the Board does not appoint someone to fill the vacancy or call an election by March 14, 2010, the Orange County Board of Supervisors has the authority to fill the vacancy by appointment or by calling an election. While Director Armstrong's term is up for election this November, in order to effectively continue the business of the District and to save our rate payers the extensive cost and delay of an election, staff recommends the Board of Directors consider filling Director Armstrong's position with a qualified and willing candidate that is committed to run in the November general election. PRIOR RELEVANT BOARD ACTION(S): Historically, the Board of Directors has chosen to fill vacancies on the Board by appointment rather than election when the vacancy occurs between regular elections. Under this option, the public's vital infrastructure would remain publicly-owned and maintained under local control. The District does not support a purchase/sale option, which ultimately passes on to the citizens and businesses, additional costs for a system that has previously been paid for by the residents of Yorba Linda, in addition to relinquishing local control. The Letter of Intent stems from discussions between the two agencies and impending deliberations by the Yorba Linda City Council to determine the fate of the sewer system currently owned and maintained by the City. The ongoing cost of maintaining the sewer system continues to rise due in large part to compliance with State regulations that went into effect in 2006. Currently, the City assesses an annual maintenance charge collected on property tax rolls. According to a cost of service and wastewater rate study prepared for the City in April 2009, the City's current assessment is substantially insufficient to cover the true maintenance costs. Currently, the City's General Fund subsidizes the sewer maintenance expenses by nearly $200,000 per year. Full compliance with the State regulations would increase this subsidy to nearly $500,000 per year. At a public hearing held in August 2009, the City Council voted against a recommended increase in the sewer maintenance assessment and asked City staff to explore options for a possible sale or transfer of the system. At an upcoming meeting, the City Council is scheduled to consider alternatives for the City sewer system, including the possible transfer of the system to the Yorba Linda Water District. YLWD maintains two thirds, or approximately 150 miles of the public sewer system serving Yorba Linda and surrounding unincorporated areas, while the City is responsible for another 75 miles of the system, that portion located roughly east of San Antonio Road. Other alternatives the City Council may consider include selling the facilities to a private (for-profit) utility as well as re-evaluating the City's sewer assessment fee. YLWD officials stand ready and willing to accept the sewer facilities if the City Council makes that request. The YLWD Board of Directors, along with management and staff of both agencies, believe this transfer would best serve the residents and businesses of Yorba Linda. A transfer of the public system to YLWD would ensure the ratepayers retain local control and representation of their sewer facilities and avoid paying to purchase the system twice, as may be the case if the City chooses to sell the public assets to a for-profit company. The public agency transfer would provide uniformity in service and reliability. "YLWD currently owns and operates the majority of the sewer system serving the Yorba Linda community. We have the trained, experienced personnel and equipment in place for a smooth transition, should the City Council choose this option," commented Ken Vecchiarelli, YLWD General Manager.
