Comments are limited to matters of public interest and matters within the jurisdiction of the Water District. Comments are limited to five minutes. 6. CONSENT CALENDAR All items listed on the consent calendar are considered to be routine matters, status reports, or documents covering previous Board instructions. The items listed on the consent calendar may be enacted by one motion. There will be no discussion on the items unless a member of the Board, staff, or public requests further consideration. 6.1. Payments of Bills, Refunds, and Wire Transfers Recommendation. That the Board of Directors ratify and authorize disbursements in the amount of$428,663.83. 7. ACTION CALENDAR This portion of the agenda is for items where staff presentations and Board discussions are needed prior to formal Board action. 7.1. Facilitator for Board Workshop Recommendation. That the Board of Directors authorize the General Manager to retain the services of BHI Management Consulting to provide staff for preparation, conducting, de-briefing and report preparation for leading the Board of Directors through a three-hour workshop covering the Role of the Board and Best Governance Practices, for a fixed fee of$3,000 plus expenses, with expenses not expected to exceed $350. 7.2. Selection of OCSD Active and Alternate Directors Recommendation. That the Board of Directors appoint an Active and Alternate Director to serve on the Orange County Sanitation District Board of Directors for the 2015 calendar year. 7.3. Pursuant to law, staff is hereby submitting the list of disbursements for Board of Directors' approval. STAFF RECOMMENDATION: That the Board of Directors ratify and authorize disbursements in the amount of$428,663.83. DISCUSSION: The major items on this disbursement list are as follows: A wire of$13,604.93 to The Gas Co. for November's 2014 gas charges, a wire of $44,118.27 to So. California Edison for November's 2014 electricity charges, and a wire of$14,963.12 to Wells Fargo for interest/fees related to the Line of Credit. The balance of$109,624.34 is routine invoices. The Accounts Payable check register total is $182,310.66; Payroll No. 26 total is $246,353.17; and the disbursements of this agenda report are $428,663.83. A summary of the checks is attached. 2015 on the topics generally surrounding the Role of the Board and Best Governance Practices. President Collett requested a proposal from the firm BHI Management Consulting for the services of a professional facilitator for the workshop. The proposal, dated December 26, 2014 is attached, for Mr. David Aranda, for services including presentation preparation, facilitating the workshop, conducting a debrief teleconference, and providing a brief written report outlining the results of the workshop and recommendations. Miraloma Ave. Placentia, CA 92870 Subject: Proposal to facilitate a Board Role and Governance Workshop Dear Mr. Collett, This proposal letter outlines the basic approach that BHI Management Consulting will take for preparation, conducting, de-briefing and report for leading the Board of Directors (Board) through a three-hour workshop covering the Role of the Board and Best Governance Practices. Mr. David Aranda, BHI Sr. Consultant, will be the primary trainer/facilitator assigned to this project. His professional introduction and our references for similar projects are also included. The project will proceed as follows: 1. Preparation - Consultant will first request all relevant documentation for review allowing added context and background for the workshop. Consultant and BHI Principal, Brent Ives, will conduct a pre-workshop teleconference with District General Manager and Board President to discuss background for and particular needs of the workshop. 2. Workshop - Consultant will prepare for and facilitate a 3-hour workshop session with the Board of Directors to achieve agreed upon deliverables with the topics generally surrounding the Role of the Board and Best Governance Practices. General topics anticipated are: 1. The Basis, Evolution and Obligation of Board Membership 2. Board Member Role 3. Board Governance/Process 4. Board Team Membership 5. Optimizing the Use of Committees 6. Communicating as Board Member 3. De-brief - Consultant and Brent Ives will conduct a de-brief teleconference with the District General Manager and Board President to discuss the results of the workshop, findings from the workshop and initial recommendations of the District. 4. Report — Consultants will provide a brief written report outlining the results of the workshop and recommendations for the District in these areas. Cost — Costs for Services - BHI Management Consulting proposes the fixed fee of $3000.00 plus customary expenses relating to attendance at the workshop and teleconference fees. Expenses are not expected to exceed $350. Primary Consultant Introduction — David Aranda has been a General Manager of California Special Districts for over 20 years and brings 15 years in executive management in the private sector. He is a known subject matter expert in local agency governance for California Special Districts, teaching thousands in good board work across California. David has taught the class in Governance Foundations for the California Special Districts Association for nearly 15 years. He has taught thousands of Board members and executive staff in the subject of good governance and best practices. He offers his experience and background through BHI to a wide variety of clients in the State. David will gather inputs for the workshop, develop facilitating powerpoint, facilitate the workshop and be the point contact for follow-up for with District and provide service to the District throughout the project. DISCUSSION: With the recent passage of SB 946, two Board members will need to be assigned to serve as the Active and Alternate Directors for the Orange County Sanitation District (OCSD). No method for making assignments of this nature is addressed in YLWD's Rules for Organization and Procedure (Resolution No. 11-15). OCSD Board members are compensated $212.50 for meeting attendance (up to 6 meetings a month with the average being 2) and receive no health insurance benefits. The Chair may be compensated for up to 10 meetings per month. ITEM NO. 7.3 AGENDA REPORT Meeting Date: January 8, 2015 To: Board of Directors Funding Source: All Funds From: Marc Marcantonio, General Manager Presented By: Gina Knight, HR/Risk Manager Dept: Human Resources/Risk Management Reviewed by Legal: No Prepared By: Amelia Cloonan, Human Resources Analyst Subject: Claim Filed by Matt Shannon SUMMARY: A claim was filed on November 3, 2014 by Matt Shannon for plumbing repairs to rental property he owns in Placentia. STAFF RECOMMENDATION: That the Board of Directors reject the claim submitted by Matt Shannon and refer it to ACWA/JPIA. COMMITTEE RECOMMENDATION: This item was not presented to the Personnel-Risk Management Committee at its meeting held December 16, 2014. DISCUSSION: Claimant states that a week or two prior to October 12, 2014 the Yorba Linda Water District performed repairs to the main water line. Mr. Shannon claims that these repairs then caused a leak on his private property. He paid a plumber $2,800 to perform repairs and asks the District to reimburse him for these costs. The District's Customer Service Report No. 32261 indicates that on August 29, 2014 water was coming up in the grass and meter box. It was determined by District staff that there was a 3/4" service leak. Service was replaced on September 2, 2014. On October 16, 2014, there was a meter leak. The residents were told the leak that was coming up in the sidewalk was on the homeowner's side. No action was taken by the District. The claim form and supporting documents are on file and available for review in the office of the General Manager. The District wishes to reject and refer this claim to ACWA Joint Powers Insurance Authority for investigation and handling.
