YORBA LINDA WATER DISTRICT
BOARD OF DIRECTORS ADJOURNED MEETING
October 15, 2003
8:30 A.M.
4622 PLUMOSA DRIVE, YORBA LINDA
The October 15 adjourned meeting of the Yorba Linda Water District Board of Directors was
called to order by President John W. Summerfield at 8:30 a.m. The meeting was held at District
Headquarters, 4622 Plumosa Drive, Yorba Linda.

William J. Robertson, General Manager
Michael J. Beverage
Arthur C. Korn
The Board went into Closed Session at 8:31 a.m. William J. Robertson, General Manager, was
excused.
CLOSED SESSION
1. Discussion of General Manager's replacement, Subsection 5 of Section 54957.1, personnel
actions.
The Board of Directors came out of Closed Session at 9:40 a.m. No action was taken in Closed
Session.
Michael Payne, Assistant General Manager, joined the meeting at 9:45 a.m. The Board
discussed the position of General Manager with Michael Payne. Issues discussed were terms of
a contract, contract language, salary, benefits, and auto allowance.
On a motion by Director Korn, seconded by Director Beverage, the Board of Directors voted 5-0
to enter into a contract with Michael A. Payne for the position of General Manager with an
effective date of December 20, 2003. In summary, the terms of the contract are for a period of
five years with a termination date of December 31, 2008. Options for extending the contract
were also included. The annual salary is $122,000 with an auto allowance of $550 per month.
Michael Payne will prepare a contract with the agreed upon terms and present the final
agreement to the entire Board for their review. If acceptable, the Board authorized President
Summerfield to execute the contract.
On a motiorrnby Director Korn, seconded by Director Beverage, the Board of Directors voted 5-0
