Comments are limited to matters of public interest and matters within the jurisdiction of the Water District. Comments are limited to three minutes. 6. SPECIAL RECOGNITION 6.1. Presentation of Proclamation to Director Phil Hawkins for 5 Years of Service to the District 7. CONSENT CALENDAR All items listed on the consent calendar are considered to be routine matters, status reports, or documents covering previous Board instructions. The items listed on the consent calendar may be enacted by one motion. There will be no discussion on the items unless a member of the Board, staff, or public requests further consideration. 7.1. Payments of Bills, Refunds, and Wire Transfers Recommendation. That the Board of Directors ratify and authorize disbursements in the amount of$1,082,650.55. 7.2. Easement Quitclaim for SARI Project Recommendation. That the Board of Directors approve quitclaim to the Orange County Flood Control District of all its right, title and interest in real property located in Tract No. 11663 and in Tract 11836, as described in the Quitclaim Deed and Exhibits A through D, as provided, and authorize the General Manager to execute the document for transmittal to the County. 7.3. Claim Submitted by Julie Lonsdale Recommendation. That the Board of Directors reject the claim submitted by Julie Lonsdale and refer it to ACWA/Joint Powers Insurance Authority. 8. ACTION CALENDAR This portion of the agenda is for items where staff presentations and Board discussions are needed prior to formal Board action. 8.1. Report on Board Governance Workshop and Consideration of Proposal for Development of Board Policies and Procedures Manual Recommendation. That the Board of Directors consider engaging BHI Management Consulting to assist the District with development of a Board of Directors Policies and Procedures Manual for an estimated cost of$8,800. 8.2. Pursuant to law, staff is hereby submitting the list of disbursements for Board of Directors' approval. STAFF RECOMMENDATION: That the Board of Directors ratify and authorize disbursements in the amount of$1,082,650.55. DISCUSSION: The major items and wires on this disbursement list are as follows: A wire of$467,469.35 to MWDOC for December 2014 water purchases; a wire of$37,918.82 to So. California Edison for January 2015 electricity charges at various sites; a wire of 16,935.24 to So. California Gas Company for January 2015 gas charges at various sites; a check of$103,093.02 to ACWA/JPIA for March 2015 medical & dental premium; and a check of $71,961.54 to Orange County Transportation Authority for J2010-02B water line install. River Interceptor (SARI) Pipeline Relocation Project and the associated Yorba Linda Spur have been completed and are in operation. Sewer lines from Yorba Linda that extended to the now-abandoned former SARI pipeline are no longer in use and are no longer required. The Orange County Flood Control District has requested that the dedicated easements for the two former sewer lines be quitclaimed back to the County. STAFF RECOMMENDATION: That the Board of Directors approve quitclaim to the Orange County Flood Control District of all its right, title and interest in real property located in Tract No. 11663 and in Tract 11836, as described in the Quitclaim Deed and Exhibits A through D, as provided, and authorize the General Manager to execute the document for transmittal to the County. DISCUSSION: The SARI Pipeline serves the sewage disposal needs of Yorba Linda, east Anaheim, Orange, and portions of Garden Grove, Santa Ana and Fountain Valley. It also serves parts of Riverside and San Bernardino counties. The SARI Pipeline Replacement Project replaced a 4-mile section of the existing pipeline from the Orange/San Bernardino County border to Weir Canyon Road. The new 54-inch diameter pipeline was constructed on the south side of the river adjacent to the 91 Freeway. Also constructed was a new 15-inch diameter sewer pipe under La Palma Avenue and the Santa Ana River Trail, called the Yorba Linda Spur, that conveys raw sewage from Yorba Linda and ties into the new SARI Line behind SAVI Ranch. Upon its completion, the YL Spur pipeline is now owned and maintained by YLWD. The combined projects were planned, designed and constructed under a partnership of the Orange County Flood Control District, the U.S. Army Corps of Engineers, the Orange County Sanitation District, and the Santa Ana Watershed Project Authority. The prior SARI Line was constructed under the bed of the Santa Ana River in this area. It was constructed with up to 20-feet of cover and considered safe. However, in recent years, in the later 1990s and early 2000s, there were major storm events that resulted in extensive erosion of the river bed and the exposure of portions of the SARI Line. This required emergency response to protect the pipe and resulted in the decision to relocate the SARI Line out of the riverbed as soon as possible. That work is now complete. Attached are two color photos from the presentation made on July 28, 2011 by OCFCD staff to the YLWD Board on the planned construction. The first photo shows the then existing SARI Line location in the river, the proposed Yorba Linda Spur on the north side of the river in La Palma Avenue, and the proposed SARI Line relocation on the south side of the river. The second photo shows a closer view of the then existing SARI Line and the Yorba Linda Spur. Also shown in this second photo are two short segments of pipe (in red) that extend from the existing SARI Line up into La Palma. A short portion of each of the two segments of pipe connects the existing City of YL sewer system into the new YL Spur. The remaining portion of each of these two segments (extending into the riverbed right of way) and the former SARI Line in the riverbed have been abandoned and filled with grout. Now that these segments of sewer line from La Palma have been abandoned, the County has requested that YLWD quitclaim the easements for the two sewer lines. YLWD staff, in meetings with staff from the County and from the Sanitation District, has determined that these sewer lines have been abandoned and that YLWD has no need for the easements. As such, District staff had the easement descriptions prepared by a survey consultant and the quitclaim deeds prepared by District legal counsel. Staff recommends approval of the Quitclaim Deeds. The workshop covered the following topics: • The Basis, Evolution and Obligation of Board Membership • Board Member Role • Board Governance/Process • Board Team Membership • Optimizing the Use of Committees • Communicating as Board Member Present for the meeting were all members of the Governing Board for Yorba Linda Water District, the General Manager and the Administrative Assistant. The preparation by staff for the room and the power point set up is very much appreciated. It was also very much appreciated that all Board Members were present and ready to listen and participate in the workshop. Observations: 1. All the Board Members have a desire to work together as a team. 2. The General Manager is very much interested in serving the needs of the District and working with all five board members. 1 BHI MANAGEMENT CONSULTING "Organizational Efficiency for Public Agencies" 3. There will be a learning curve in regard to Board Members and the General Manager "getting to know one another" and thus understanding each other as individuals. 4. All in attendance desire to meet the needs of the District and abide by the Mission, Vision and Core Value statements as posted on the District Web Site. 5. It appeared that all in attendance acknowledged the need to change some of the culture that has existed over the past few years due to the changes and turnover in management. 6. The Board of Directors seems willing to take on their role as a Governance Team. 7. The General Manager very much wants to manage the staff and instill a Chain of Command within the 78 employees. He is looking to the Board of Directors to aid him in this regard. 8. The Board appears eager to work at developing a governance model which existing and future Boards can follow. The Board also appears willing to develop policies and guidelines regarding Board Conduct and Discipline. 9. The group acknowledged looking at the need to change the way things have been done, i.e. the committee structure and method. 10. The group acknowledged the need to work on a new strategic plan. Recommendations: A. The Board and staff should not lose the momentum from the workshop and should systematically press ahead with addressing the needs of the District. B. The Board should make it a priority to develop a Governance Policies, Guidelines and Procedures manual. It is very important that the Board have guidelines in place and well documented describing who they are, what they are trying to accomplish and how they go about accomplishing their job BEFORE addressing specific issues. If the Board has developed a Unity of Purpose and the addressed method in which to conduct themselves, they will be much better prepared to address the various topics on their list. C. It appears that the board is moving forward with looking at alternatives to the many standing committees that are currently in place. We recommend that this process continue with the method that allows for staff to address means and the board to address the ends, which will free up staff time, allow the board to focus on governance issues and develop a better chain of command within the organization. E. Miraloma Ave. Placentia, CA 92870 Subject: Proposal to assist District with a Board Policies and Procedures Manual Dear Mr. Marcantonio, This proposal letter outlines the basic approach that BHI Management Consulting will take for leading the Board of Directors (Board) District through the process of establishing a thorough Board Policies and Procedures Manual. Mr. Brent Ives and Mr. David Aranda has over 40 years of experience with local public agency best practices from both the policy and professional side of the dais. The firm has helped numerous other special districts with identical projects. Mr. David Aranda, BHI Sr. Consultant, will be the primary consultant assigned to this project. Brent Ives will also works directly with the Board in the initial phases of this project. His professional introduction and our references for similar projects are also included. Approach: We realize that the consideration of policy is always the Board's primary role. These policies and procedures are even more focused specifically on the Board and establishing such a manual involves the entire Board. Due to the level of importance and sensitivity of this project, it is best when led by an outside, objective party. The District should not try to create this manual with staff leading or a committee recommending critical policies to the Board. Our extensive experience with local governments and like projects provides for the most expedient path to successful completion. It allows for open, professional, experienced and facilitated discussion of each policy as the Board works through the process. As such, the development of these policies becomes like a classroom discussion of each as it relates specifically to your Board and your context. BHI will do all preliminary research into the appropriate set of policies and procedures needed for a special district, contextualize each for your District and then lead a number of discussions directly with the Board for one by one adoption until a complete set is adopted and comprise the Manual. This process allows each Board member to participate in the development and clear understanding of each Board policy as they are discussed and adopted. We are usually able to achieve this work with our attendance at 1 BHI MANAGEMENT CONSULTING "Organizational Efficiency for Public Agencies" three regular Board meetings, taking on a set of policies at each meeting until all are completed. In many cases the policies take on the contextual specifics of each District and Board they serve. The project will proceed as follows: 1 . Preparation - Consultant will first request all current relevant policies, guidelines or procedures for potential inclusion in the process. BHI will construct a set of preliminary policies into a manual for review and preparation for the first Board meeting. At a regular meeting of the Board, BHI will be in attendance to work with the Board with a pre-determined set of policies for review, discussion and approval that evening. The discussion of each policy during the meeting can be easy or can spur lengthy discussion as necessary as the Board considers that policy. BHI will propose a number of policies for consideration in each meeting so as not to take more than one hour for each meeting. Manual Completion — Upon approval of the manual, BHI will submit all revised policies and procedures to staff for their inclusion in the District policy manual and recommend how and when certain policies are best applied to good Board work. Schedule- BHI will begin work on the project within three weeks of receipt of signed agreement to proceed. It is anticipated that the project take up to 4 months to fully complete, in compliment with our schedule to complete the work. DISCUSSION: The District's current purchasing policy requires that any charges in excess of $25,000 requires a Request for Proposal (RFP) process. Mr. Micalizzi provided a report on staff's meeting with Townsend Public Affairs which occurred the week prior. 1 Mr. Delzer left the meeting at this time. 4.3. Drought Update (Verbal Report) Mr. Marcantonio reported on the status of the statewide drought and current water supply conditions. Mr. Micalizzi noted that the District's website was undergoing a redesign and that an analytics report would be provided at the next meeting. He also provided a summary of a few notable water waste reports recently received. Director Beverage commented on a recent news clip he had seen of Jeffrey Kightlinger, General Manager for MWDSC, talking about the drought. He suggested that staff look into obtaining a copy of the interview for promotional purposes. Mr. Micalizzi stated that he would request a copy for potential placement on the District's website. 4.4. Legal and Labor Counsel's Monthly Summary Billings (Verbal Report) The Committee had no questions or comments regarding these reports. Mr. Kidman provided a brief report regarding the status of litigation related to the Freeway Complex Fire to which the District is no longer a party. Mr. Kidman also noted that he would be providing a presentation related to this litigation in regards to inverse condemnation at the ACWA Spring Conference in May. 4.5. Directors and General Manager Fees and Expenses Report The Committee reviewed the reports and staff responded to questions related to the current and future budgeted amounts for meeting and travel expenses. 4.6. Future Agenda Items and Staff Tasks Mr. Marcantonio noted that staff had received a request from EOCWD for a letter of support from the Board related to its reorganization application to OCLAFCO for local sewer service. An item regarding this matter has been placed on the agenda for the next regular Board meeting. Mr. Marcantonio then briefly commented on a recent sewer leak. 5. ADJOURNMENT 5.1.
