Any individual wishing to address the Board (or Committee) is requested to identify themselves and state
the matter on which they wish to comment. If the matter is on the agenda, the Chair will recognize the
individual for their comment when the item is considered. No action will be taken on matters not listed on
the agenda. Comments are limited to three minutes and must be related to matters of public interest

8.1. Board of Directors' Compensation
Recommendation: That the Board of Directors adopt Ordinance No. 2025-XX
setting compensation for members of the Board effective January 1, 2026
pursuant to Section 20200 et seq. of the California Water Code and
superseding Ordinance No. 2024-02.

SUBJECT: Board of Directors' Compensation
RECOMMENDATION:
That the Board of Directors adopt Ordinance No. 2025-XX setting compensation for members of the
Board effective January 1, 2026 pursuant to Section 20200 et seq. of the California Water Code and
superseding Ordinance No. 2024-02.
FISCAL IMPACT:
Budget for FY26: $100,000
BACKGROUND:
In accordance with California Water Code Sections 20201-20202, the amount of compensation for
members of the Board of Directors is currently set at $163.80 per day for each day's service
rendered on the District's behalf, not to exceed 10 days per calendar month. Section 20202 also
allows for an increase in the amount of compensation up to 5% for each calendar year following the
operative date of the last adjustment.
The Board has determined that each calendar year, a public hearing will be conducted to consider
increasing Director compensation effective January 1st of the following calendar year in an amount
equal to cost of living adjustment (COLA) percentages provided to District employees not to exceed
5%.
At the October 10, 2024 meeting, the Board conducted a public hearing and determined to increase
Director compensation from $157.50 to $163.80 per day effective January 1, 2025, as District
employees were provided a COLA to their base salary of 4% effective July 1, 2024. The Board also
determined to shift consideration of increasing Director compensation to align with adoption of the
budget at the end of each fiscal year.
District employees have been provided a COLA to their base salary of 5% effective July 1, 2025.
Accordingly, this public hearing has been scheduled and noticed to facilitate Board consideration of a
5% increase in Director compensation from $163.80 to $171.99 per day effective January 1, 2026.
Pursuant to Water Code Section 20203 and Government Code Section 6066, notice of this hearing
was published in a newspaper of general circulation on Thursday, June 12, 2025 and Thursday,

June 19, 2025. The notice was also posted in the District's lobby and website.
Attached is an updated listing of compensation rates of other Orange County water agencies for
comparison.

ORDINANCE NO. 2025-XX
ORDINANCE OF THE BOARD OF DIRECTORS
OF THE YORBA LINDA WATER DISTRICT
SETTING COMPENSATION FOR MEMBERS OF THE BOARD
PURSUANT TO SECTION 20200 ET SEQ. OF THE
CALIFORNIA WATER CODE AND SUPERSEDING ORDINANCE NO. 2024-02
WHEREAS,the Yorba Linda Water District is organized and operates under authority of
the County Water District Act, Division 12, commencing with Section 30000
et seq.; and
WHEREAS, California Water Code Section 20202 permits water districts, as defined in
Section 20200, which includes the Yorba Linda Water District, to increase
compensation of members of the Board of Directors in an amount in excess
of $100 per day for each day’s attendance at Board meetings and for
each day’s service rendered as a Director at the Board’s request, not to
exceed ten (10) days per calendar month; and
WHEREAS,the increase in compensation authorized pursuant to Section 20202 is
limited to five percent (5%) for each calendar year following the operative
date of the last adjustment; and
WHEREAS,the Board of Directors took action to conduct a public hearing each
calendar year to consider increasing Board member compensation
effective January 1, beginning January 1, 2025, in an amount equal to cost
of living adjustment (COLA) percentages provided to District employees
not to exceed five percent (5%); and
WHEREAS,the Board of Directors last took action on October 10, 2024, to increase
Board member compensation by four percent (4%) from $157.50 to $163.80
per day with an effective date of January 1, 2025; and
WHEREAS,District employees were provided a COLA to their base salary of five
percent (5%) effective July 1, 2025; and
WHEREAS,the Board of Directors seeks to increase the amount of compensation
consistent with the District employees’ five percent (5%) COLA and in
accordance with the provisions of Water Code Section 20200 et seq.; and
WHEREAS,in accordance with Section 20203 of the Water Code and Section 6066 of
the Government Code, a public hearing was held on June 26, 2025, at 8:30
AM, or soon thereafter as practicable, and a notice of said hearing was
duly published in a newspaper of general circulation, once a week for two
weeks on June 12, 2025 and June 26, 2025.
THE BOARD OF DIRECTORS OF THE YORBA LINDA WATER DISTRICT DOES ORDAIN AS
FOLLOWS:
SECTION 1.The foregoing recitals are true and correct.

SECTION 2.Upon and after January 1, 2026, compensation for members of the Board
of Directors of the Yorba Linda Water District shall be $171.99 per day for
each day’s attendance at meetings of the Board of Directors and other
meetings attended at the request of the Board of Directors. Compensation
for any type of service shall not exceed ten (10) days in any calendar
month.
SECTION 3.Each calendar year, the Board will conduct a public hearing to consider
increasing Board member compensation effective January 1st of the
following calendar year in an amount equal to cost of living adjustment
(COLA) percentages provided to District employees, not to exceed five
percent (5%).
SECTION 4.Consideration of increasing Board member compensation shall align with
adoption of the budget at the end of each fiscal year.
SECTION 5.Members of the Board shall receive reimbursement or payment of
expenses, according to District policy, rules, and regulations, incurred in the
performance of each Director’s duties required or authorized by the Board
of Directors.
SECTION 6.All ordinances, resolutions, or administrative actions by the Board of
Directors, or parts thereof, that are inconsistent with any provision of this
Ordinance are hereby superseded only to the extent of such inconsistency.
SECTION 7.Consistent with Section 20204 of the Water Code, this Ordinance shall
become effective on January 1, 2026.
