WHEREAS, this corporation, Yorba Linda County Water District desires
to obtain financial accommodations from American Express , pursuant
to the use of a number of American Express credit cards by the officers
and agents of this corporation; and
WHEREAS, this corporation intends to authorize its officers and agents
to use such American Express Cards for and in connection with corporate
business; and
WHEREAS, American Express will not extend such accomodations by issuing
such American Express Cards unless this corporation agrees to assume
sole responsibility for the use of such American Express Cards or any
of them, and to pay American Express for all indebtedness incurred by
use of such American Express cards or any of them, whether such use or
indebtedness was authorized or unauthorized by this corporation.
NOW,THEREFORE, be it resolved that this corporation apply to American
Express for the issuance of a sufficient number of American Express
cards as is, in the judgement of the officer or officers hereinafter
authorized, this corporation may require;
RESOLVED FURTHER, that MERWIN WAGNER, the President, or ROBERT MILMOE,
the Vice President, and VALDO Y. SMITH, the Secretary of this corp-
oration be and they hereby are authorized, directed and empowered, in
the name of this corporation, to apply to American Express for the
issuance of such American Express cards and to execute such application
forms and agreements to pay all indebtedness incurred by use of such
American Express cards, whether authorized or unauthorized, as American
Express may require.
RESOLVED FURTHER, that American Express is authorized to act upon this
resolution until written notice of its revocation is delivered to
American Express, and that the authority hereby granted shall apply with
equal force and effect to the successors in office of the officers
herein named.
RESOLVED FURTHER, that this corporation shall pay to American Express
the annual fee of Ten Dollars ($10.00) to obtain said American Express
Card.
I, Valdo Y. Smith, Secretary of Yorba Linda County Water District, a
corporation, incorporated under the laws of the State of California,
do hereby certify that the foregoing is a full, true and correct copy
of a resolution of the Board of Directors of said corporation, duly
and regularly passed and adopted at a meeting of the Board of Directors
of said corporation which was duly and regularly called and held in
all respects as required by law, and by the by-laws of said corporation,
at the office thereof on the 24th day of March, 1965, at which meeting
a majority of the Board of Directors of said corporation was present and
voted in favor of said resolution.
I further certify that said resolution is still in full force and effect
and has not been amended or revoked and that the specimen signatures
appearing below are the signatures of the officers authorized to sign
for said corporation by virtue of this resoluiion.
