CALL TO ORDER 2. 3. 4. 5. The May 12, 2014 meeting of the Yorba Linda Water District's Executive - Administrative- Organizational Committee was called to order by Director Kiley at 4:00 p.m. The meeting was held in the Admin Conference Room at the District's Administration Building located at 1717 East Miraloma Avenue in Placentia, California 92870. ROLL CALL COMMITTEE STAFF Director Robert R. Kiley, Chair Steve Conklin, Acting General Manager Director Ric Collett Damon Micalizzi, Public Information Officer OTHER ATTENDEES Art Kidman, Partner, Kidman Law LLP Andrew Gagen, Partner, Kidman Law LLP Heather Dion, Senior Director, Townsend Public Affairs (By Teleconference) PUBLIC COMMENTS None. DISCUSSION ITEMS 4.1. Status of Legislative Affairs (Verbal Report) Ms. Dion provided an update to the Committee on the status of S13946, currently going to the State Assembly for consideration. Following her presentation and discussion with the Committee Ms. Dion ended her telephone connection with the meeting. ACTION CALENDAR 5.1. Candidate's Statements of Qualifications for November 4, 2014 General Election Mr. Conklin reported that an April 23 letter was received from the County Registrar of Voters requesting information regarding candidates and statements for the November 4 General Election. Following discussion, the Committee recommended to the Board that candidate statements be limited to 200 words and that the District not pay for Candidate's 1 Statement of Qualifications. These recommendations are consistent with the Board's historical responses on these matters. 5.2. Request to Support Election of James R. Fisler or Richard Freschi as Alternate LAFCO Commissioner Mr. Conklin reported that the District has received separate requests to support the election of the above two candidates. Following discussion, the Committee asked that this be brought to the Board for consideration (without Committee recommendation) at its meeting near to the time that votes must be submitted. (A review of this schedule with LAFCO after the Committee meeting indicated that this matter would need to be brought to the May 22, 2013 Board meeting for consideration.) 5.3. Updates to the CSDA Bylaws Mr. Conklin reported that the CSDA Board has approved several recommended updates to the CSDA Bylaws which are now being put before the voting members for consideration. Following discussion, the Committee recommended that the Board support the adoption of the 2014 Proposed CSDA Bylaws Amendments. 5.4. Updates to the CASA Bylaws Mr. Conklin reported that the California Association of Sanitation Agencies (CASA) Executive Board has approved several recommended updates to the CASA Bylaws which are now put before the voting members for consideration. Following discussion, the Committee recommended that the Board approve repealing existing CASA bylaws and adopting proposed new bylaws. 5.5. Establishment of Rules and Procedures for Oversight and Coordination of Special Counsel Legal Services Mr. Conklin reported that District General Counsel has submitted a proposed resolution for consideration concerning the above. Following discussion, the Committee determined that this item should be tabled for consideration at a later date. 6. DISCUSSION ITEMS CONTINUED 6.1. Status of Cielo Vista and Esperanza Hills Development Projects (Verbal Report) The Committee chose not to discuss this item. 6.2. Presentation to Yorba Linda City Council Regarding Statewide Drought and Impact on YLWD (Verbal Report) Mr. Conklin reported that City staff requested that District staff make a presentation at an upcoming City Council meeting the ongoing statewide drought and its impact on YLWD. Following discussion, the Committee 2 asked the Acting General Manager to prepare a presentation and to contact the City for further information on the date desired and for clarification on information to be included in the presentation. 6.3. Directors and General Manager Fees & Expenses Report for 3rd Qtr of FY 2013/14 The Committee reviewed the subject report and had no comment. 6.4. Future Agenda Items and Staff Tasks Mr. Conklin recalled that the Board last had a bus tour of District facilities in June 2013, and asked if the Committee wanted to schedule another tour. Following discussion, the Committee recommended that instead of a bus tour that staff plan for a District Open House in the fall. Lastly, Mr. Conklin reported to the Committee that following a meeting with City staff to discuss the flushing of the District's YL Blvd Pipeline, District staff is looking at an alternative approach with the contractor, whereby hoses would be used to carry the discharge water and minimize discharge along the street. The Committee adjourned to Closed Session at 4:45 p.m. Directors Kiley and Collett were present. Also present were Messrs. Conklin, Kidman, Gagen and Micalizzi. 7. CLOSED SESSION 7.2. Conference with Legal Counsel — Pending Litigation Pursuant to Subdivision (a) of Section 54956.9 of the California Government Code Name of Case: ACWA/JPIA, et al vs. Insurance Company of the State of Pennsylvania, et al (OC Superior Court — Case No. 00486884) At the end of discussion on this item, Mr. Micalizzi left the meeting. 7.1. Conference with Real Property Negotiators Pursuant to Section 54956.8 of the California Government Code Property: 4622 Plumosa Drive, Yorba Linda CA Agency Negotiators: Steve Conklin Negotiating Parties: To Be Determined Under Negotiation: Price and Terms of Payment 3 7.3. Conference with Legal Counsel — Pending Litigation Pursuant to Subdivision (a) of Section 54956.9 of the California Government Code Name of Case: City of Yorba Linda vs. Josefina N. Sioson, et al. (OC Superior Court — Case No. 00709123) 7.4. Conference with Legal Counsel — Pending Litigation Pursuant to Subdivision (a) of Section 54956.9 of the California Government Code Name of Case: City of Yorba Linda vs. Leonard P. Bigonger, et al. (OC Superior Court — Case No. 00709131) 7.5. Conference with Legal Counsel — Anticipated Litigation Significant Exposure to Litigation Pursuant to Paragraph (2) of Subdivision (d) of Section 54956.9 of the California Government Code Related to line break at 1301 North Rose Drive, Placentia CA 92870. Number of Potential Cases: One 7.6. Conference with Legal Counsel — Anticipated Litigation Significant Exposure to Litigation Pursuant to Paragraph (2) of Subdivision (d) of Section 54956.9 of the California Government Code Related to potential claim submitted on behalf of Charles Busch. Number of Potential Cases: One 7.7. Conference with Legal Counsel — Anticipated Litigation Significant Exposure to Litigation Pursuant to Paragraph (2) of Subdivision (d) of Section 54956.9 of the California Government Code Related to written communications from potential plaintiffs threatening litigation. Number of Potential Cases: One 7.8. Conference with Legal Counsel — Anticipated Litigation Significant Exposure to Litigation Pursuant to Paragraph (2) of Subdivision (d) of Section 54956.9 of the California Government Code Number of Potential Cases: One 12 The Committee reconvened in Open Session at 5:54 p.m. Director Kiley announced that no action was taken during Closed Session that was required to be reported under the Brown Act. 6.
